Why are you declaring a special distribution?
The company’s Board of Directors determined that paying a special distribution would provide additional value to our stockholders.

This seems like a fairly substantial distribution. How did you arrive at this amount?
Our advisors assisted us in carefully evaluating our options to determine the most prudent use of our cash and the best method with which to return value to stockholders. It was determined that the one-time special cash distribution of $43.40 per share, equal to approximately $1.75 billion (depending on the number of shares outstanding), returned the greatest value, while at the same time giving us enough financial flexibility to support our growth plans and allowing stockholders to continue to participate in the future of the company.

When will the distribution be paid?
The payment date for the $43.40 per share distribution is planned for Jan. 22, 2016. The stock will begin trading ex-distribution at the market open on Jan. 25, 2016.

What happens if I buy or sell stock between the record date and the payment date?
The company’s common stock will start trading on an ex-distribution basis beginning on Jan. 25, 2016, the day after the payment date, in accordance with NYSE rules. Stockholders who sell their shares prior to the payment date of Jan. 22, 2016, will also be selling their right to receive the special distribution. Stockholders are advised to contact their financial advisors before selling their shares.

Will this distribution be taxed as an ordinary dividend?
A majority of this special distribution may be treated as a return of capital for U.S. federal income tax purposes. We completed and posted an Internal Revenue Service (IRS) Form 8937, “Report of Organizational Actions Affecting Basis of Securities,” for this distribution on Jan. 22, 2016. This form provides details on the expected changes in the tax basis of our shares resulting from this distribution. The final determination of the U.S. federal income tax treatment of this distribution (e.g., dividend versus return of capital) will be reported to U.S. stockholders on a IRS Form 1099-DIV in early 2017. The process of determining these amounts, which entails a comprehensive review and analysis of the company’s history, is well underway. For more information regarding the U.S. federal income tax treatment of dividend and non-dividend distributions, see IRS Publication 550, Investment Income and Expenses. Stockholders (including stockholders that are tax resident in non-U.S. jurisdictions) should consult their own tax advisors regarding the U.S. federal, state, local and non-U.S. tax implications of this special distribution.

How are employees’ stock options and stock appreciation rights affected by the special distribution?
Each stock option and stock appreciation right will have its per-share exercise price reduced after the first full day that the stock trades ex-distribution, such that the new exercise price will be equal to the average of the high and low trading prices of Visteon Corporation common stock on Jan. 25, 2016, minus the option’s or stock appreciation right’s “spread value,” where the “spread value” equals the average of the high and low trading prices of Visteon Corporation common stock on the last trading day immediately before Jan. 25, 2016, minus the previously unadjusted exercise price of the option or stock appreciation right.

How are employees’ restricted stock units and performance stock units paid the special distribution?
In general, restricted stock unit and performance stock unit holders will be paid the special distribution if and when the restricted stock units and/or performance stock units to which the distribution relates become vested. For performance stock units, the distribution payment will depend on performance under the performance stock unit agreement. The special distribution payments will be held by the company until the related restricted stock units and/or performance stock units become vested.

How much cash will the special distribution require and how much cash does the company have?
We are paying a distribution to common stockholders of $43.40 per share. The total amount of the distribution depends on how many shares are outstanding on the record date. Based on an analysis of expected shares outstanding at year-end, the aggregate amount of the distribution would be approximately $1.75 billion. As of Sept. 30, 2015, the company had approximately $2.9 billion in cash.
